We can help you structure your business so that you are able to maximize your business opportunities while minimizing your taxes in a way that best protects you, the owner. We will help you explore all of your business formation options.
1) Business Formation
Our business formation proposal features an all-inclusive fixed fee that covers all filing fees, customized documents, record books, attorney attendance at organizational meeting and follow-up consultation to ensure that organizational steps have been completed correctly.
Organizing a new business by choosing the entity most suitable for the business and owners is the cornerstone for building success. We provide comprehensive services on a fixed fee basis. We take the time to listen to your plans, review the capital strategy, and look at the various objectives. From the information you provide, we will propose a structure including legal entity and supporting documents.
a) The Evaluation Process
Creating the successful business structure is more than a matter of skill and artful drafting of documents. The concerns of founders, investors, creditors, employees and affiliated companies must be evaluated and balanced. Together we examine the current status of the business or plans for the new business. We then project incremental goals for your business. We create an entity that will work today and be effective years from now. We work with our clients to create operating agreements, buy-sell agreements, trade agreements, stand still agreements, no hire's, covenants not to compete and non-disclosure agreements that are prudent, meet the unique standards of Texas law and establish the framework for enterprise.
The special purpose entity is common in many commercial real estate ventures. Lenders will require that the borrowing entity be a “SPE” that is an entity formed exclusively for this venture. As you choose between limited partnerships, limited liability partnerships, limited liability companies or incorporation, you must optimize the interests of the participants, minimize tax exposure and protect the secured creditor while limiting personal liability.
Our SPE’s will meet the requirements of the financial community including banks and venture capital groups. Our work will protect the intellectual capital, innovation and creativity that you bring to the business our non-disclosure agreements are comprehensive, our employment agreements are prudent and our standstill requirements insure the opportunity to make the business what you set out to create without losing control of the destiny.
b) Legal Council
The Law Office of Brian C. Simpson also provides ongoing legal council for businesses of all forms and for all matters.
